It’s to make sure that everything you do, from closing the company’s books, dealing with severance pay, liquidating assets, to filing of bankruptcy abides with the laws and regulations of a particular state or country. It would be inconvenient to do things your own way then realize that you’ve violated some laws later on. What’s more difficult is that by the time all the litigation starts, you’ll be on your own since you’re officially no longer with the company, much more that the company no longer exists.
